Company registration in Cyprus is conducted through the Department of Registrar of Companies and Official Receiver. A proposed company name must be approved and reserved through this department.

To register a company, an application signed by the director must be submitted, providing the essential details about the company. It should include documents such as the memorandum and articles of association, declaration, copies of passports, and Tax Identification Numbers (TIN) of shareholders and directors.


Once the company is established, the registration details will be published in the Cyprus Government Gazette. To finalize the registration, it is necessary to register with the tax and social insurance authorities.

At the time of registration, the company must have:

  • A Tax Identification Number obtained from the tax authorities — needed for both tax purposes and opening a bank account.
  • Memorandum and Articles of Association certified by the registrar or a notary.
  • A bank reference letter confirming the availability of sufficient funds in the account to establish the company. It must specify the company name, shareholders, and their share of the capital.
  • A receipt for the payment of 0.6% of the share capital to the Registrar of Companies.
