New rules: companies in Costa Rica will be registered without a corporate name

Important changes to the company registration process have come into effect in Costa Rica. According to the new Law No. 10.729, the country has reformed the system for identifying newly created legal entities. Now, new companies will no longer be registered under a corporate name. Instead, they will be automatically assigned a unique corporate identification number (CIN) by the National Registry.

This change is aimed at simplifying and speeding up the registration process by eliminating one of the most time-consuming steps: checking the uniqueness of the company name. Previously, the procedure involved checking for overlaps with existing names, which often led to delays or even denials of registration. With the introduction of the identification number system, this problem is a thing of the past.

In addition, eliminating the mandatory corporate name reduces the risk of legal conflicts and increases legal certainty. Each registered entity will now have a unique identification number, which ensures transparency and a reliable tracking system for tax and legal purposes.
